Terms of Use

1. Parties and Acceptance

These Terms of Use ("Terms") apply between KODMIS · Türkiye · Tax Office: Mardin Vergi Dairesi, Tax No: 29573225566 ("KODMIS", "we", "us") and visitors to https://www.kodmis.com and natural or legal persons using KODMIS SaaS services ("User", "you").

By visiting the site or registering for the service, you represent that you have read, understood, and accepted these Terms. If you do not agree, do not use the site or service.

2. Nature of the Service

KODMIS is a software-as-a-service (SaaS) platform and associated corporate website designed to help businesses manage their e-commerce storefront, inventory / warehouse, marketplace connections, marketing, and AI tools from a single dashboard.

Content on the website is for informational purposes only and does not constitute a binding offer. Prices, plan scope, and promotions (e.g. pilot programme) are finalised through separate communications / contracts; applicable VAT and tax rules apply.

3. Account and Eligibility

• You must provide accurate, current, and complete information to use the service
• You are responsible for account security (password, 2FA, etc.)
• Accounts may not be opened on behalf of persons under 18
• A person acting on behalf of a legal entity represents that they are authorised to do so

4. Subscription, Fees, and Cancellation

Paid plans are subject to the selected package, billing cycle (monthly / annual), and the applicable price list. Payments are processed through authorised payment institutions.

Pilot / complimentary periods are limited to the announced conditions, capacity, and KODMIS's written approval. The transition to a paid plan or account closure after the free period is communicated separately.

Cancellation and refunds: subscription cancellation takes effect from the next billing period; partial-period refunds are not made unless otherwise specified in the agreement. Mandatory consumer law rights are reserved (to the extent B2C applies).

5. AI Features and Credits

AI tools may operate on a credit model. Credits are allocated per plan; additional credits may be purchased. AI outputs are draft in nature and do not constitute legal, medical, or financial advice. The user is responsible for the accuracy and regulatory compliance of legal texts, product content, and marketing materials published on their storefront.

Prohibited uses: generating harmful content, infringing third-party rights, spam, malware, misleading advertising, promotion of illegal products.

6. User Content and Store Data

You are responsible for the lawfulness of products, images, texts, customer, and order data you upload. You grant KODMIS a limited licence necessary for service delivery.

Publishing and keeping current the store-level distance selling, returns, and KVKK disclosures for end consumers is the responsibility of the store operator. The Legal Centre on the platform can generate AI drafts; final review and approval rests with you.

7. Prohibited Uses

• Using the service for unlawful purposes
• Disrupting system security, reverse engineering, or unauthorised access
• Accessing other users' data without permission
• Excessive automated requests / denial of service (DoS)
• Trademark or intellectual property infringement

8. Intellectual Property

KODMIS software, design, logos, texts, and documentation belong to KODMIS or its licensors. These Terms do not transfer ownership; they grant a limited, revocable, non-transferable right of use.

9. Disclaimer of Warranties and Limitation of Liability

The service is provided 'as is' and 'as available'. Uninterrupted or error-free operation is not guaranteed. To the maximum extent permitted by mandatory law, KODMIS shall not be liable for indirect, incidental, loss-of-profit, or loss-of-data damages.

KODMIS's total liability is limited to fees paid for the relevant account in the twelve months preceding the event giving rise to the dispute (mandatory legal exceptions apply).

10. Suspension and Termination

We may suspend or terminate accounts in the event of a breach of these Terms, security risk, payment default, or legal requirement. Following termination, data deletion / export processes are carried out in accordance with product documentation, subject to applicable statutory retention obligations.

11. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Türkiye. Courts and enforcement offices at KODMIS's place of business have jurisdiction over disputes; consumer rights before the relevant consumer arbitration committee / courts are reserved.
